that are unexpected, beyond a party's control which materially and adversely affects the performance by either party of its obligations under this Agreement, including: designs, design rights, copyright, inventions, trade secrets, know-how and confidential information） and all applications for protection of any of the same. obligations 设计人的义务 2.1 As the key designer in this project during the stage of master plan and schematic design, The architect shall cooperate with The client to complete construction-declaration related to fire protection, human defense, environmental protection of the same phase, and provide relevant drawing and interpretation. 作为该项目规划、方案设计阶段的主要设计单位，设计人须配合发包人完成项目规划、方案阶段的规划、消防、人防、环保等报建工作，提供相关的图纸及说明。 2.2 The Architect shall be deemed to have scrutinized, prior to the Base Date , the Clients’ requirements （including design criteria and calculations, if any）. The Architect shall be responsible for the design of the Project and for the accuracy of such Clients requirements （including design criteria and calculations）, except as stated below. 设计人应被视为，在开始工作日期之前已仔细检查了发包人要求（包括设计标准和计算，如果有）。设计人应负责项目的设计，并在除下列发包人应负责的部分外，对发包人要求（包括设计标准和计算）的正确性负责。 2.3 The Client shall not be responsible for any error, inaccuracy or omission of any kind in the Client’s Requirements as originally included in the Agreement and shall not be deemed to have given any representation of accuracy or completeness of any data or information, except as stated below, Any data or information received by the Architect, from the Client or otherwise, shall not relieve the Architect form his responsibility for the design of the Project. 除下列情况外，发包人不应对原包括在合同内的发包人要求中的任何错误、不准确、或遗漏负责，并不应被认为，对任何数据或资料给出了任何不准确性或完整性的表示。设计人从发包人或其他方面收到任何数据或资料，不应解除设计人对本项目设计所承担的职责。 However, the Client shall be responsible for the correctness of the following portions of the Client’s requirements and of the following data and information provided by （or on behalf of） the Client: a）portions, data and information which are stated in the Agreement as being immutable or the responsibility of the Client, b）Definitions of intended purposes of the Project thereof, c）Criteria for the approval of the final design deliverables. 但是，发包人应对发包人要求中的下列部分，以及由（或代表）发包人提供的下列数据和资料的正确性负责： a）在合同中规定的由发包人负责的，或不可变的部分，数据和资料； b）对项目的预期目的的说明； c）对最终设计成果的认可标准。 2.4 The architect shall review the Construction documents provided by the design institute entrusted by The client. 设计人应审核发包人委托的施工图设计单位所提供的施工图。 2.5 The architect shall revise or supplement the request on function made by The client unconditionally. 对于发包人提出功能上的要求，应无条件修改或补充。 2.6 The services to be provided by The architect at different design phase are detailed in Article of Proposal on design services of The C Project. 设计人的各设计阶段的服务内容详见《C项目设计服务建议书》中第 条 2.7 The Architect should perform the project design according to the People’s Republic of China National Technology Standard, codes, regulations, and written design requirement from the Client; submit qualifying design documents and assume full responsibility for its content. 设计人应按本合同签署时适用的中华人民共和国国家技术规范、标准、规程及发包人提出的书面设计要求，进行工程设计，按合同规定的进度要求提交质量合格的设计成果，并对其内容负全部责任。如果在设计人提交设计成果时，前述的技术规范、标准、规程发生变更，发包人应当提供新的技术规范、标准、规程，或变更设计要求。 2.8 The Architect undertakes that the Services will be accordance with the Laws in the Country, and the documents forming the Agreement, as altered or modified by Variations. 设计人承诺其设计符合项目所在国的法律；及经过变更做出更改或修正的构成本合同的各项文件。 2.9 The Architect is responsible for reviewing design documents submitted by Local Architect to ensure that they reflect the design intent correctly. The deadline for design review is 15 business days from receiving the design files. If the Architect has any suggestions or opinions, they should be submitted to both the Local Architect and the Client in writing 设计人负责对国内设计合作单位设计文件的审核，确保设计意图的正确体现，审批时限为收到设计文件后15个工作日内，如果设计人对国内设计合作单位的设计文件有意见和建议，应书面提出审核意见和修改建议，在发送给国内设计单位的同时抄送给发包人 2.10 The Architect should provide material samples or suggestions for suppliers in DD phase. 设计人应在初步设计阶段提供材料样板或者参考品牌建议。 2.11 If certain technical specification for any equipment or material is required to complete the design task, the Architect should submit a written notice in advance to the Client and suggest no less than two brands and specifications 出于完成设计工作的需要，设计人需要某种设备、材料的技术参数才能完成设计工作时，应提前书面通知发包人，并提出不少于两个的建议品牌和规格。 2.12 After submitting the design documents, the Architect shall give written responses to questions that the Client may have in the bidding and construction phases regarding the design. The design fee covers such services. 在设计人提交了设计文件后，发包人在组织工程招标及施工阶段对设计文件提出的问题，设计人应给予书面解答，此类工作的费用，已包含于设计费用中。 2.13 The Architect shall provide the detailed list of materials, facilities. 设计人需对建筑材料、设备提供明细表。 2.14 The Architect will preparing a set of reproducible record drawings showing significant changes in the Work made during construction based on marked-up prints, drawings and other data furnished by the Contractor to the Architect. 设计人提供一套可以被复制的纪录性图纸。以做过标记的蓝图、图纸及其它承包商提供给设计人的数据为基础，表示出施工期间的各大修改。 2.15 The Architect warrants to the Client that it has exercised and will continue to exercise in the performance of the Services all the reasonable professional skill, care and diligence to be expected of a properly qualified and competent architect experienced in carrying out services equivalent to the Services in relation to projects of a similar size, scope and complexity to the Project. 该设计人向发包人保证，已提供的和将要提供的服务都符合一个合格、称职、有经验的设计人，在采用了所有合理的专业技能，认真尽职的、为类似规模，范围和复杂性项目所能提供的服务。 2.16 The Architect will carry out the Services in accordance with this Agreement. 设计人将根据本协议提供服务。 2.17 The Architect shall identify a representative （the Architect Representative） who shall exercise the powers of the Architect under the Agreement, and shall notify the Client of the name, telephone number and email address of the Architect Representative within fifteen （15） Working Days of the date of this Agreement. Should the Architect Representative change, the Architect shall immediately notify the Client in writing, with details of the new Architect Representative. 设计人应当指定一个代表（设计人代表）在该协议下行使设计人的权力，并且于本协议签字日期15日内书面通知发包人关于设计人代表的姓名，电话号码及电子邮件地址。如果设计人代表更换，设计人应立即以书面形式通知发包人关于新设计人代表的详细信息。 2.18 Clarification of drawing 图纸交底 The Architect shall communicate with The Client sufficiently, and shall attend the drawing clarification meeting held at the location of The Client’s office at scheduled time determined by both parties through consultation to explain the drawings. 设计人应与发包人充分沟通，按双方协商确认的时间前往发包人公司所在地参加图纸交底会议，解释其设计图纸。 2.19 Design Error 设计错误 If Errors, omissions, ambiguities, inconsistencies, inadequacies or other defects are found in the Architect’s documents, they shall be corrected at the Architect’s cost, notwithstanding any consent or approval under this Agreement. 如果在设计人文件中发现有任何错误、遗漏、含糊、不一致、不适当或其它缺陷，尽管根据本合同做出了任何同意或批准，设计人仍应自费对这些缺陷进行修正。 2.20 Confirm of drawing 工作确认 The Architect shall continue with the next stage design after receiving the written confirm from the Client at the end of each stage. 每个设计阶段结束后，设计人应在收到发包人书面确认后再开始下一阶段的工作。 3 Client's Obligations 发包人的义务 3.1 Designated representative 指定代表人 3.1.1 The Client shall identify a representative （the Client Representative） who shall exercise the powers of the Client under the Agreement, and shall notify the Architect in writing of the name, telephone number and email address of the Client Representative within fifteen （15） Working Days of the date of this Agreement. Should the Client Representative change, the Client shall immediately notify the Architect in writing, with details of the new Client Representative. 发包人应当指定一个代表（发包人代表）在该协议下行使发包人的权力，并且于本协议签字日期15日内书面通知设计人关于发包人代表的姓名，电话号码及电子邮件地址。如果发包人代表更换，发包人应立即以书面形式通知设计人关于新发包人代表的详细信息。 3.1.2 The Client, when requested by the Architect, shall give decisions, feedback and approvals as necessary in a timely manner for the proper and timely performance of the Services. 应设计人的要求，发包人应当在需要时及时做出决定、反馈和确认从而保证服务可以正确和及时地开展。 3.1.3 In case of any delay of the information and documentation provided by the Client, the Architect shall be entitled to postpone time for performing the corresponding services under this Agreement. 如果发包人逾期提供信息或文件，设计人有权推迟履行本协议项下相应的服务 3.2 Provision of information/documentation 信息或文件的提供 3.2.1 The Client shall provide, free of charge, all information and documentation in its possession, power or control that relates to this Agreement or is otherwise necessary for the proper and timely performance of the Services. The Architect shall be entitled to rely on such information and documentation in carrying out the Services. 发包人应免费提供其拥有和掌握以及控制的所有与本协议有关，或所有对及时准确开展服务所必须的资料和文件。设计人有权依据这些资料和文件开展服务。 3.2.2 The information and documentation provided by the Client regarding requirements for and limitations on the Project shall include without limitation a written program setting forth the Client's objectives, schedule, constraints and criteria, including space requirements and relationships, flexibility, expandability, special equipment, systems and site requirements. 发包人提供的有关项目要求与限制条件的全部资料，包括但不限于以书面形式的任务书确定发包人的目标、进度、约束条件与设计标准。 3.3 The Client shall pay the Architect the Fees in accordance with clause 4 and the provisions of Schedule 3. 发包人应根据第4条及附件3相关规定向设计人支付费用。 3.4 The Client shall be responsible for obtaining all the permits, certificates and approvals from the PRC government authorities, which are necessary for the Project. 发包人负责办理项目设计所需的所有中国政府许可、批文及批准，设计人提供配合工作 3.5 Other consultants 其他顾问 3.5.1 The Client shall furnish to the Architect the services of geotechnical engineers when such services are requested by the Architect. Such services may include but are not limited to test borings, test pits, determinations of soil bearing values, percolation tests, evaluations of hazardous materials, ground corrosion tests and resistivity tests, including necessary operations for anticipating subsoil conditions, with reports and appropriate recommendations. 如设计人要求，发包人应向设计人提供地质工程技术服务。服务包括但不限于钻探检测、凹陷检测、土壤承压值测定、渗漏检测、危险材料评测、地面侵蚀检测、电阻检测，以及对先期天然地基条件进行必要检测等，并提供检测报告与合理建议。 3.5.2 The Client will provide the services of other consultants （such as elevator, signage and security） when such services are reasonably required by the scope of the Project. 依项目工程合理的需求，发包人将提供其它顾问服务（如电梯、标示、安全顾问等）。 3.5.3 The Client shall copy the Architect in on all communication with the local landscape architect and any other consultants it retains for the Project. 发包人应将所有与中方景观设计院以及其他设计顾问的交流内容抄送给设计人。 4 Remuneration 报酬 4.1 Subject to any agreed payment milestones, activity schedules or any other specific payment arrangements set out in Schedule 3, invoices for payment of amounts due to the Architect shall be submitted by the Architect to the Client at the intervals stated in Schedule 3 or （if no intervals are stated） at the end of each calendar month. 根据任何约定的付款时间表、日程安排或任何其他附件3特别规定的付款安排，设计人应当在附件3规定的间隔或（如果没有规定间隔）每一个日历月的月末将其应收款项的账单和发票提交给发包人。发包人核审无误后按照本合同约定付款。 4.2 Unless otherwise indicated, the Fees are exclusive of the trip expense, which include the travel and accommodation costs. The Architect should provide the invoice with supporting documents which meets the criteria which listed on the Schedule 3. 除非有其他的规定，费用不包括差旅费。设计人应当按照附件三中列明的标准来提供差旅费用清单及相关的票据。 4.3 As between the Client and the Architect, the Client shall be responsible for all taxes （including any sales, use, value added, income, corporation, business, branch, withholding or similar government imposed taxes） duties or excise taxes, and all charges, interest or penalties assessed, levied or imposed in relation to the performance of the Services （the Taxes and Duties）. Unless otherwise indicated, the Fees and all other amounts payable under this Agreement are exclusive of such Taxes and Duties which shall be due and payable by the Client in addition to the Fees. 在发包人和设计人之间，发包人应当支付在中国境内产生的所有的因履行服务而征收或支付的税收（任何营业税、使用税、增值税、所得税、公司所得税、工商税、分公司税、代扣所得税或其他由政府征收的类似税收）、关税或货物税及所有的手续费、利息或罚金（“税收和关税”）。在以上约定之外的在中国境外产生的所有因履行服务而征收或支付的税收由设计人按照设计人所在国相关税务法律履行纳税义务。除非另有规定，本协议下的费用和所有其他应付金额不包括该等税收和关税，该等税收和关税应按照双方约定条款在费用之外另行支付。 4.4 Subject to any revised periods stated in Schedule 3, within five （5） Working Days from receipt of each application for payment made in accordance with clause 4.1 and when otherwise required by this Agreement, the Client shall issue a notice to the Architect, calculated according to Schedule 3 on the basis of the Services provided, specifying the amount of payment proposed to be made, to what that amount relates and the basis of which that amount is calculated. The date of such notice shall be the due date for payment to the Architect. Subject to any revised periods stated in Schedule 3, the Client shall pay to the bank account as designated by the Architect the amount stated as due in each such notice within fifteen （15） Working Days from the date of issue of such notice which shall be the Final Date for Payment. 根据任何对附件3中期间的修正，在发包人收到根据4.1条做出的支付申请的5个工作日内和当本协议另有要求时，发包人应向设计人签发一份通知，在已提供服务的基础上根据附件3计算，列明要支付的款项的具体金额、与该金额所对应的服务项目及该计算该金额的基础。该通知的日期是应向设计人支付款项的日期。根据任何对附件3中期间的修正，发包人应在签发该等通知之日起的60个工作日内（最终的付款日期）将设计人在该通知中确定的应付金额支付到其所指定的银行账户。 4.5 Not later than five （5） Working Days before the Final Date for Payment of any amount due, the Client may give notice to the Architect specifying any amount proposed to be withheld or deducted from the amount otherwise due together with the ground or grounds for such withholding or deduction and the amount attributable to each such ground. 在任何款项的最终付款日期之前的5个工作日之内，发包人应向设计人发出通知，说明其从到期款项中扣除的金额、做出此种扣除的依据及每一依据对应的金额。 4.6 None of the issue by the Client of any notice or any payment shall in any way affect the right of the Architect to contend that any of the Services have not been properly valued and that any amount has been improperly withheld. 发包人签发的任何通知或任何付款都不应影响设计人因服务没有被合理地估价或任何金额被不合理地扣除而提出抗辩的权利。 4.7 If the Architect does not receive any payment by the applicable Final Date for Payment （calculated in accordance with clause 4.4）, the Architect shall be entitled to receive financing charges at the rate stated in Article 5 on the amount unpaid during the period from the applicable Final Date for Payment until the date on which payment is received. This clause 4.7 is without prejudice to the Architect's rights under clause 4.8. 如果在适用的最终的付款日期（根据4.4条计算），设计人没有收到任何付款，则设计人有权就未付款项获得以第5条规定的费率计算的财务费用，计算期间自最终的付款日期起到实际收到付款之日止。本4.7条的规定不影响设计人在4.8条下的权利。 4.8 If the Client fails to make any payment due in accordance with this clause 4 and Schedule 3 by the applicable Final Date for Payment, the Client shall pay the Architect 0.03% of the due payment per day as a penalty, and if such failure shall continue for five （5） Working Days after the Architect has given the Client written notice of its intention to suspend performance and the grounds for such intended suspension, then the Architect may suspend performance of its obligations under this Agreement until such time as payment is received in full. 如果发包人未能在最终的付款之日根据本第4条和附件3支付任何到期的付款，每逾期一天，发包人应当支付逾期应付款的万分之三/天的违约金；并且如果在设计人已经向发包人发出表示其将暂停履行服务及暂停的理由的书面通知后的5个工作日之内仍未履行，那么设计人可以暂停履行它在本协议下规定的义务直到发包人支付已到期的全部款项。 4.9 If the Client does not receive the documents by the applicable Final Date （according to the Article of Proposal on design services of The C Project ）, the Client shall be entitled to receive financing charges at the rate stated in Article 5 on the amount unpaid during the period from the applicable Final Date until the date on which documents are received. This clause 4.9 is without prejudice to the Clientt's rights under clause 4.10. 如果设计人未能在约定的日期提交成果（根据《C项目设计服务建议书》中第条），则发包人有权就此部分服务费用款项获得以第5条规定的费率计算的财务费用，计算期间自约定提交日期起到实际收到成果之日止。本4.9条的规定不影响发包人在4.10条下的权利。 4.10 If the Architect fails to make any documents due in accordance with the Article of Proposal on design services of The C Project by the applicable Final Date, the Architect shall pay the Client 0.03% of the due payment per day as a penalty, and if such failure shall continue for five （5） Working Days after the Client has given the Architect written notice of its intention to suspend performance and the grounds for such intended suspension, then the Client may suspend performance of its obligations under this Agreement until such time as payment is received in full. 如果设计人未能在约定的日期提交成果（根据《C项目设计服务建议书》中第条），每逾期一天，设计人应当支付逾期应付款的万分之三/天的违约金；并且如果在发包人已经向设计人发出表示其将暂停付款及暂停的理由的书面通知后的5个工作日之内仍未履行，那么发包人可以暂停履行它在本协议下规定的义务及付款直到设计人提交全部成果。 4.11 All rights of set-off which the Client and the architect would otherwise be entitled to exercise whether under contract, tort, law or otherwise are hereby excluded. 本协议排除发包人和设计人在合同、侵权行为、法律或其他规定下有权行使的所有撤销权。 4.12 The currency of this Agreement shall be as set out in the Articles of Agreement and all Fees shall be paid in such currency. 本协议的币种应当在协议条款中作出规定，所有的费用应以该币种支付。 4.13 The Architect will invoice the Client at the address set out in the Articles of Agreement or such other address as the Client shall notify the Architect in writing from time to time. 设计人应当将发票寄至协议条款中规定的地址或任何发包人不时书面通知的其他地址。 5 Assignment and sub-contracting 转让或分包 5.1 This Agreement is personal to the parties and none of their rights or obligations may be assigned without the prior written consent of the other party, except as stated in Article 4 of the Articles of Agreement. 本协议在当事方之间具有私密性，除协议条款第4条的规定的情形外，未经另一方的事先书面同意，任何一方的权利和义务不能转让。 5.2 The Architect can only sub-contract performance of any part of the Services with the written consent of the Client being required. In the event of such sub-contracting of the Services, the Architect shall remain fully responsible in respect of all Services performed by such sub-contractors as if they had been performed by the Architect under this Agreement. 设计人如果将任何部分服务分包给其他人必须经过发包人的书面认可。如果将服务分包，设计人仍应对该分包人履行的所有服务完全负责，就如同是由设计人亲自履行的一样。 5.3 The Architect is not responsible for the payment of any other consultant directly engaged by the Client.. 设计人不对直接由发包人聘用的任何其他顾问的付款负责。设计人需配合发包人聘用的其他顾问的制定和管理，并对其他顾问提供的图纸进行审核。 6 Insurance 保险 6.1 The Architect shall take out and maintain third party liability cover in the sum and for the period set out in the Articles of Agreement for each and every claim or series of claims consequent upon or attributable to the same cause or original source. 设计人应按照本协议条款规定的金额和期间为产生于同一原因或来源的每一索赔或一系列索赔购买或维持第三者责任险。 6.2 The Architect shall take out and maintain professional indemnity insurance in the sum and for the period set out in the Articles of Agreement for each and every claim or series of claims consequent upon or attributable to the same cause or original source without onerous or unusual conditions or excesses, provided that such insurance remains available to organisations of equivalent size and type to the Architect on commercially reasonable terms and conditions. 设计人应按照本协议条款规定的金额和期间在没有免赔额及正常情况下为产生于同一原因或来源的每一索赔或一系列索赔购买或维持第三者责任险，但是该保险应与与设计人同样规模和类型的机构所应维持的保险相当，保险的条款应有商业合理性。 6.3 The Architect shall provide to the Client, within ten （10） Working Days from the date hereof, documentary evidence of the insurance referred to in clauses 6.1 and 6.2, and shall provide the Client copies of each annual renewal notice in respect of such policies and written confirmation that the annual premiums have been paid within ten （10） Working Days of the Client's written request at any time during the periods set out in clauses 6.1 and 6.2, but not in any way that could breach the terms of such insurance policies. 设计人应当在本协议签订后10个工作日内向发包人提供已购买6.1和6.2条提到的保险的证明文件，并提供给发包人该保险单的年度更新通知和在6.1条和6.2条规定的期间内经发包人发出书面要求的10个工作日内（但在任何情况下都不能违反该保险单条款的规定）已经支付年保险费的书面确认的复印件。 7 Validation, termination and completion of the Contract 合同生效、终止与结束 7.1 This Contract shall be valid after being stamped by both parties and being signed by the legal representatives of both parties or by deputies authorized by the legal representatives. This Contract shall become effective from the date the latter party signed （and stamped） on the Contract 本合同需经甲乙双方加盖单位公章，并且要有双方单位法人代表或由法人代表授权的委托代理人的签字方为有效；本合同生效日期以甲乙双方中最后一方签字（并盖章）的日期为准。 7.2 In any of the following cases, The Client shall have the right to terminate the Contract without assuming responsibilities for breaching of Contract; at the same time, The Client shall be entitled to take relevant remedy actions in accordance with this Contract and relevant laws and regulations 若设计人发生下述情形之一，发包人有权终止本合同，而不承担任何违约责任，同时发包人有权依照本合同相关规定和法律规定采取相应救济措施。 7.2.1 The Architect is proceeding procedures for bankrupt or insolvent settlement 设计人进行破产或破产和解的程序； 7.2.2 The Architect is in any way transferring assets, secretly withdrawing funds as well as weakening its reputation and ability to perform the Contract； 设计人任一方有转移资产、抽逃资金或其它丧失声誉及履约能力之情形； 7.2.3 The Architect severely breaches the obligation stipulated in this Contract and fails to remedy its default within the time limit specified by The Client； 设计人任一方严重违反本合同规定义务，经过发包人限期改正，而未改正者； 7.2.4 The Client is entitled to cancel this Contract in accordance with this Contract or relevant laws and regulations. 本合同规定或其他法律法规规定发包人有权解除本合同的。 7.3 If at any time either party shall breach materially this Agreement and shall not remedy such breach within ten （30） Working Days from the date of notice from the other party specifying the breach then the other party may terminate this Agreement with immediate effect. 如果在任何时候，任何一方严重违反本协议并在另一方发出违约通知之日起的30日内没有纠正违约行为，则另一方可以立即终止本协议。 7.4 In the event of suspension under clause 4.8 and if the Client has failed to make the necessary payment, the Client shall pay the Architect 0.03% of the due payment per day as a penalty. If such due payment is not made within ten （30） Working Days from the date of such notice of suspension, then the Architect may by notice in writing to the Client terminate this Agreement with immediate effect. 在出现4.8条暂停履行的情况下，每逾期一天，发包人应当支付逾期应付款的万分之三/天的违约金。如果发包人未能在设计人发出暂停通知之日起30个工作日之内进行必要的支付，则设计人可以通过书面通知发包人立即终止本协议。 7.5 In the event of suspension under clause 4.10 and if the Architect has failed to make the necessary design documents, the Architect shall pay the Client 0.03% of the due payment per day as a penalty. If such due design documents are not made within ten （30） Working Days from the date of such notice of suspension, then the Client may by notice in writing to the Architect terminate this Agreement with immediate effect. 在出现4.10条暂停履行的情况下，每逾期一天，设计人应当支付逾期应付款的万分之三/天的违约金。如果设计人未能在发包人发出暂停通知之日起30个工作日之内进行必要的提交成果，则发包人可以通过书面通知设计人立即终止本协议。 7.6 In the event that either party shall become bankrupt, or make a composition or arrangement with its creditors, or make a proposal in respect of its company for a voluntary arrangement for a composition of debts or a scheme of arrangement to be approved or have any steps taken in or out of court in respect of its company for the appointment of an administrator, or have a winding-up order made, or （except for the purposes of amalgamation or reconstruction） have a resolution made for voluntary winding-up passed, or have a provisional liquidator, receiver or manager of its business or undertaking duly appointed, or have possession taken by or on behalf of the holders of any debenture secured by a floating charge, then this Agreement shall automatically terminate with immediate effect. 如果任何一方破产，或与债权人达成清偿协议或安排，或提出有关该公司的自愿偿还债务安排或安排方案供审批或法院已经采取措施为该公司指定管理人，或法院下达清算命令，或（除非为了合并或重组的目的）通过自愿清算的决议，或已适当指定业务的临时清算人、接收人或管理人，或经提供浮动抵押担保的任何债券持有人或其代表接管该公司，则本协议应立即自动终止。 7.7 Either party may terminate this Agreement by notice in writing with immediate effect if a Force Majeure event prevents either party from performing all or a substantial part of its obligations under this Agreement for a continuous period of ninety （120） days. 如果因不可抗力使任何一方不能履行本协议或本协议的主要部分持续达120天，则任何一方都可以以发出书面通知的方式立即终止本协议。 7.8 Termination of this Agreement shall be without prejudice to the rights and obligations of the parties already accrued as at the date of termination. 本协议的终止不应影响双方在本协议终止之前已经产生的权利和义务。 7.9 Consequences of termination of the Contract 合同终止后果 7.9.1 The Architect shall return all materials and information related to business confidentiality to The Client within the time limit designated by The Client, The Architect shall destroy those un-returnable materials and information 本合同终止后，设计人应当于发包人指定期间内返还发包人所有商业秘密资料、信息，不能返还的予以销毁。 7.9.2 In case that this Contract is terminated due to The Architect, or The Client has paid relevant design fee, The Client shall be entitled to the ownership of design documents and drawings delivered by the Architect and relevant intellectual property rights. 本合同因设计人原因终止或发包人已支付相应设计费的，发包人享有设计人已交付的设计文件及图纸的所有权及其所含有的知识产权。 7.9.3 In case that the Client is unable to perform this Contract due to its own reason, it shall pay up design fee to the Architect for completed design items in accordance with this Contract. In case that the project is renewed, the Client and the Architect shall negotiate about the new payment mode of the unperformed part of the previous Contract or sign another contract on new service scope. 发包人因自身原因不能履行本合同，应按照合同付清已完成阶段设计任务对应的设计费。若日后工程仍再度进行，发包人与设计人应就尚未履行的原合同或新的服务范围，协商新的收费方式或重新签订合同。 7.9.4 In case that the Architect is unable to perform this Contract due to its own reason; or as the result of misconduct of The Architect, The Client cancels this Contract in accordance with Article 7.2 above or other provisions of this Contract, The Architect shall pay 10% of cost for uncompleted part of this Contract as penalty. In case that The Architect has submitted parts of design products, both parties shall treat with design products and design fee in accordance with Article 7.3.2 above; in case that The Architect has not submitted any of the design products 设计人因自身原因无法履行合同或导致发包人按照第7.2条规定或合同其他规定解除合同者，应支付未完成工作费用的10%违约金，设计人已提交部分工作成果的，双方则按照7.9.2条约定处理设计成果和设计费。 8 Suspension 暂停 8.1 In the event of suspension of the Services pursuant to clause 4.8, the Client shall pay the Architect that part of the Fees due to it, in accordance with Schedule 3, plus 0.03% of the due payment per day as a penalty, for the Services carried out up to the date of suspension plus the Architect's additional costs in respect of: 如果出现根据4.8条暂停服务的情形，发包人应根据附件3对截止暂停之日已经提供的部分服务支付到期费用以及逾期应付款的万分之三/天的违约金给设计人，并对时间表也做相应的调整。 8.2 In the event of suspension of the Services pursuant to clause 4.10, the Architect shall pay the Client that part of the Fees due to it, in accordance with Schedule 3, plus 0.03% of the due payment per day as a penalty 如果出现根据4.10条暂停服务的情形，设计人应根据附件3按截止暂停之日起逾期应付款的万分之三/天的违约金给发包人。 8.3 In the event of a suspension of Services due to failure of the Client to make payments to the Architect, the Architect shall have no liability for delay or damage caused to the Client because of such suspension. 如果因发包人未能履行向设计人的付款义务而导致服务的暂停，则设计人不应对因延期所产生的任何责任或对发包人造成的损害负责。 9 Additional Services 额外的服务 9.1 The Architect shall notify the Client in writing as soon as it becomes apparent that any variation to the Services or any Additional Services are likely to be required, specifying the circumstances with an estimate of the implication （if any） on the time for performance and the Fees. 当需要对服务做出调整或需要追加任何额外的服务时，则设计人应立即书面通知发包人，通知中应包括对该额外服务预计要花费的时间和费用做出说明。 9.2 In the event that the Client requires: 如果发包人要求：  <a id="_GoBack" /> 9.2.1 the Architect to perform any Additional Services; and/or 设计人提供任何额外的服务；和/或 9.2.2 a variation to the Services, which may include any addition to, modification of, omission from or change to the duration of the Services; the Client shall notify the Architect in writing, setting out the Client's requirements for such Additional Services and/or any variation to the Services. The Architect shall within twenty （20） Working Days of receipt of the Client’s notification, or within such time as the parties shall agree, notify the Client of the implications （if any） on the time for performance and the Fees. 对服务的重大调整，包括任何对服务时间的延长、修改、扣减或改变：发包人应书面通知设计人，说明发包人对额外服务的要求和/或对服务的任何调整。设计人应当在收到发包人通知之日起的20个工作日之内或双方一致同意的其他时间，通知发包人调整后的服务将要花费的时间和费用的细节（如果有）。 9.3 Additional Services outside the scope of work provided in this agreement and/or any variation to the Services will be billed in accordance with the hourly rates set out in Schedule 3 or as otherwise agreed between the parties. The Architect will not undertake Additional Services and/or any variation to the Services until the Client has agreed in writing the tasks to be undertaken, and the effect on the time for performance of the Services and the Fees. The Architect shall only carry out such Additional Services and/or any variation to the Services on the basis of such written instruction. 超出本协议规定的工作范围的额外服务和/或调整应根据附件3规定的小时费率或双方同意的其他费率收费。在发包人书面同意进行这些任务和开展服务将花费的时间和费用之前，设计人可以不提供额外的服务和/或对服务做出调整。设计人只根据这种书面指示提供额外服务和/或调整服务。 9.4 Any significant change in the requirements of the written instruction by the Client will be considered an Additional Service, which includes but is not limited to the following: 发包人书面要求的重大的调整都将视为是额外的服务，包括但不限于以下： 9.4.1 inconsistent with approvals or instructions previously given by the Client, including revisions made necessary by adjustments in the Client's program or Project budget；due to big changes required as a result of the Client's failure to render decisions in a timely manner; 由于发包人的原因，导致概念规划完成后由双方签字认可的任务书或工程预算进行重大调整而带来的修改；或设计文件制作以后，由于发包人未能及时决策而导致的重大修改。 9.4.2 preparing drawings, specifications and other documentation and supporting data, evaluating the Architect’s proposals, and providing other services in connection with change orders and construction change directives when such change orders and construction change directives result from conditions outside the Architect's control; 为超出设计人控制之外的原因而造成的设计变更或施工变更提供图纸,设计说明和其它文件及相关数据和评估承包商的提案。 9.4.3 included in Basic Services, the Architect will prepare documents for and provide related services in connection with bidding and negotiation for up to two （2） bid packages prior to the completion of the construction documents phase. Time spent preparing documents for additional bid packages or providing services in connection with additional bidding and negotiation periods will be compensated additionally. 包含在基本服务范围内，设计人在施工图完成前最多准备二份与招投标、谈判的文檔及相关的服务。设计人为准备追加的招投标文件或提供与追加招投标及谈判期间相关的服务所付出的工作时间将另加补偿。 10 Intellectual Property 知识产权 10.1 TheClient shall retain all Intellectual Property Rights in the deliverables which accepted by the Client in relation to the Services. 发包人应当保留设计人提交的并为发包人所接受的设计成果的知识产权。 10.2 A is a registered trade mark and any use or association of the mark by the Client in association with the Project shall be subject to the following conditions: A是注册商业标志，发包人在该项目中使用商标或者与之关联应当遵守以下条款： 10.2.1 payment of the Fees that includes payment for the use of her mark, association with her mark, any attendance at any events, promotions or marketing as part of the Project. Such attendance, promotion or marketing subject always to her approval and availability; 支付包括使用商标、与此商标关联、出席活动及以此商标作为项目一部分而进行促销或者营销的费用。该等出席、促销或者营销应当取得A的同意和允许； 10.2.2 the name, image and endorsement shall not be used for any purpose other than the Project without the written prior consent of A; 未经A事先的书面同意，不得将名称、图像、认可适用于本项目之外的目的； 10.2.3 A shall have the right to withdraw her endorsement and the use of her trade mark in the event of any damage to her goodwill and reputation if the Client amends, alters or deviates without limitation from the designs, drawings and plans approved by the Architect in the construction of the Project; and 如果发包人不做限制的修改、改变或者偏离设计人在项目建设过程中核准的设计、草图、规划，在损害了设计人的商业信用和名望的情况下，A有权利撤回认可和商标的使用； 10.2.4 the Client undertakes that it will not do anything or permit any third party to do anything which is derogatory, detrimental or damaging to the goodwill, reputation and international good standing of A and the trade mark. 发包人保证不做出任何贬损、不利于或损害使A及商标的商誉、名望、国际信誉的行为，也不允许第三方这样做。 11 Confidentiality 保密 11.1 The Architect retains the right to photograph all completed projects, installations or designs, or other works produced as a result of this Agreement, and retains the right to use such photographs for exhibition, public relations and marketing purposes with the consent of the Client, such consent not to be unreasonably withheld or delayed. 设计人保留对完工的项目、安装、设计或者基于本协议的其它工作成果拍摄照片的权利，并保留在发包人同意的情况下使用这些照片进行展览、开展公共活动或者营销的权利，发包人不得不合理的撤销或者迟延该等同意。 11.2 Subject to clause 11.1, this Agreement is strictly private and confidential and the parties shall not reveal to any third party （except as expressly agreed or as obliged by law） any information exchanged between them, if and to the extent that it is stated or known by them to be confidential, and shall use such information only for the purposes of the Project. 除11.1条规定外，本协议应该严格保密，并且双方不得向第三方透露他们之间的任何交流信息（除双方明确同意或法律要求的情形外），如果双方已声明或知悉该等信息为保密信息。该等信息仅能用在本项目。 12 Time Frame for Performance 工作时间安排 12.1 The Architect’s services shall be performed as expeditiously as is consistent with good professional practice and care and the orderly progress of the Project, and in accordance with the schedule agreed by both Parties, which may be adjusted, as the Project proceeds, by mutual agreement of the Client and Architect. 设计人应根据底线进度，在保障良好的职业实践和有秩序的工作进展的基础上，提供及时迅速的服务。此进度可随项目进展经由发包人和设计人双方同意作适当调整。 12.2 The Services under this Agreement will commence upon execution of this Agreement and with the receipt of the initial payment described in Schedule 3. 设计人在本协议中的工作将于本协议生效并如附件三所述收到启动费后开始进行。 12.3 If the Architect is unable to submit any design deliverables specified under this Agreement, it shall notify the Client in writing. Approval of such postponement shall not be unreasonably withheld by the Client; if the Architect has reasonable explanations for the delay, then the Client shall agree to the Architect’s reasonable delay to submit such design deliverables. Reasonable explanations for the Architect's delay include: failure of the Client's consultants to provide the Architect with necessary information in a timely manner; failure of the Client to provide information in a timely manner; and delays in the public approvals process. 若设计人无法在本协议指定期间内完成各项设计工作，设计人必须在制定交付时间的20天前书面通知发包人并取得发包人对设计成果交付延期的同意。发包人需在10天内给予书面回复，设计人有合理理由延期的，发包人应同意设计人合理延期交付。设计人成果交付延期的合理理由包括：发包人的顾问未能按时提供设计人必需的信息；发包人未能按时提供信息。 13 Force Majeure 不可抗力 13.1 If a party is or will be prevented from performing any of its obligations under this Agreement by Force Majeure, then it shall give notice to the other party of the event or circumstances constituting the Force Majeure and shall specify the obligations which are or will be prevented. The party shall, having given notice, be excused performance of such obligations for as long as the Force Majeure prevents it from performing them. Upon the cessation of the Force Majeure event （or its effects）, the relevant affected party shall promptly give notice to the other party and continue to proceed. 如果一方当事人因为不可抗力不能或者将要不能履行本协议下的义务，其应当通知另外一方构成不可抗力的事件或情形并且详细说明不能或者将要不能履行的义务。发出通知后，该方自不可抗力使之不能履行义务之时可以不履行该义务。一旦不可抗力（或其影响）停止，受影响的一方当事人应当立即通知对方且继续履行。 13.2 Notwithstanding any other provision of this clause, Force Majeure shall not apply to the obligations of either party to make payments to the other party under this Agreement. 尽管有本条的其它规定，不可抗力不适用于一方当事人依据本协议应当向另外一方付款的义务。 14 Problem solving and dispute avoidance or resolutions 问题解决及争议的避免或者解决 14.1 As soon as it is aware of any difference or dispute arising under or out of or in connection with this Agreement, the Services or the Project （a difference or dispute）, the relevant party shall give notice to the other party including all available information regarding the difference or dispute. 一旦知道基于、产生于或者与本协议、服务或者项目相关的任何争议或者纠纷（争议或者纠纷），有关方应当向对方发出通知，包括所有能够获取的与争议或者纠纷有关的信息。 The parties shall meet within ten （10） Working Days of receipt of the notice sent under clause 14.1 and shall through good faith discussions for a period of not less than twenty-eight （28） days thereafter make constructive proposals in seeking to achieve an agreed solution to the notified difference or dispute. 双方应当在收到依据14.1条发出的通知十（10）个工作日之内进行会面，并且之后通过不少于二十八（28）天的友好协商，提出有建设性的建议，以寻求双方同意的有关通知所述争议或者纠纷的解决方案。 14.2 If any difference or dispute is not resolved in accordance with clauses 14.1, and 14.2 and provided that neither party has by reason of that dispute or difference exercised a right of termination pursuant to clause 7, then either party may refer such difference or dispute to in accordance with the procedure referred to in Schedule 6. 如果依据14.1 和14.2条不能解决该争议或者纠纷，且双方均未以该争议或者纠纷为由行使第7条所规定的终止权利，任何一方当事人可以依据附件6提到的程序将该等争议或纠纷，在 。 14.3 The agreement applies to Chinese law. All documents prepared pursuant to this Agreement （including all correspondence, drawings, specifications, notices and other documents submitted to the Client or to the Architect） shall also be in the English language. If within ninety （90） days following the date on which such notice is given, the dispute cannot be settled through consultations, after given the written notice to the other party, either party shall submit the dispute to （please select） for final resolution.
