The Buyer shall effect the payment upon the first presentation ofthe bill（s） of exchange and the required documents. （d）承兑交单（D/A） 货物装运后,卖方应通过银行（银行名称） 银行 分行向买方出具以买方为付款人的、在 之后（）天付款的远期汇票,并附上所需的单据。买方应在第一次提交汇票及所需单据时承兑该汇票,并于汇票到期日付款。 Documents Against Acceptance （D/A） After shipment, the Seller shall deliver usance bill（s） of exchange drawn on the Buyer, payable （ ）days after together with the required documents to the Buyer through bank name） Bank Branchfor acceptance.The Buyer shall accept the bill（s） of exchange upon the first presentation of the bill（s） of exchange and the required documents and shall effect the payment upon the maturitydate of the bill（s） of exchange. （e）汇款 买方应:（*在选定项目上打勾并填写相应内容） *[ ]在签定合同后（）天内, *[ ]收到所需单据后（）天内, *[ ]在提单日期后（）天内 以电汇方式向卖方指定银行的卖方账户支付货款 Remittance The buyer shall: （*tick and complete whichever is applicable） *[ ]within days after signing of this contract, *[ ]within days after the receipt of the required documents, *[ ]within days after the date of the bill of lading, pay the value of the Goods to the Seller's account with a bank, designated by the Seller by means of T/T（ Telegraphic Transfer）. （14）保险 INSURANCE: （*在选定项目上打勾并填写相应内容） 在CIF或CIP条件下运送货物,卖方应按发票金额的110%投保[ ]平安险或[ ]水渍险或[ ]一切险和战争险保到 。 （*tick and complete whichever is applicable） Under the term of CIF or CIP insurance shall be covered by the Seller for 110% of the invoice value against[ ] F.P.A.or[ ] W.A. or[ ] All Risks And War Risks Up to . （15）索赔： CLAIMS: 凡属于品质异议,买方须于货到目的地之日起30天内向卖方提出,凡属于数量异议,买方须于货到目的地之日起15天内向卖方提出,但均须提供经卖方同意的公证行的检验证明。双方均同意,这些异议如属于保险公司、轮船公司、其他运输机构或邮局负责的,卖方不承担任何责任。 Quality discrepancy if any, shall be raised by the buyer within 30 days after the arrival of goodsat the destination, and quantity discrepancy, if any, shall be raised by the buyer within 15 daysafter the arrival of goods at the destination. In both cases, claims must be accompanied by surveyreport of recognized public surveyors agreed to by the seller. It is mutually understood that theseller shall not assume any responsibility for any discrepancy arising from cases for which the in surance company, shipping company, other transportation organization or post office are to be liable for. （16）不可抗力 FORCE MAJEURE 16.1 任何一方因水灾、火灾、地震、暴风雪、旱灾、冰雹、飓风或者其他该方当事人无法控制,在签订木合同时不能合理预见、不可避免或无法克服的事件造成其无法履行或迟延履行全部或部分合同义务,则该方当事人不承担任何责任。但是,履约能力受不可抗力事件影响的一方当事人应尽快将不可抗力事件的发生通知另一方,并应在事件发生后14天内向另一方提交由有关机构或某独立的第三方出具的关于发生不可抗力事件的证明或文件。 Neither party shall be held responsible for failure or delay to perform all or any part of this Contract due to flood, fire, earthquake, snowstorm, drought, hailstorm, hurricane, or any other events that are beyond the control of the affected party and could not reasonably be foreseen at the time of conclusion of this Contract or avoided or overcome by such party. However, the party whose performance is affected by the events of Force Majeure shall give a notice to the other party of its occurrence as soon as possible and a certificate or a document of the occurrence of the Force Majeure events issued by the relevant authority or an independent third party shall be sentto the other party not later than 14 days after its occurrence. 16.2 如果不可抗力事件持续超过30天,合同双方应就本合同的履行或终止进行协商。如果在 不可抗力事件发生后120天内双方不能达成协议,任何一方有权终止合同。如果合同就此终止, 各方当事人应承担各自的费用,且不得对终止合同有关的损失要求赔偿。 If the event of Force Majeure continues for more than 30 days, both partied shall negotiate the performance or the termination of this Contract. If within 120 days after the occurrence of the event of Force Majeure, both parties can not reach an agreement, either party has the right to terminate this contract. In the case of such a termination either party-shall bear its own costs. Further claims for compensation in connection with the termination shall be excluded. （17）仲裁 ARBITRATION 凡因执行本合同所发生的或与本合同有关的一切争议,应由双方通过友好协商解决;如果协商仍不能解决时,应提交中国国际经济贸易仲裁委员会,根据该会的仲裁规则在北京进行仲裁。仲裁的裁决是终局的,对双方均有约束力。 All disputes arising from the execution of, or in connection with this contract, shall be settled amicably through negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the China International Economic and Trade Arbitration Commission, Beijing, for arbitration in accordance with its rules of procedure.
